1. Acceptance of Terms
By accessing or using Opengeni, the hosted AI agent platform at app.opengeni.ai and our website at opengeni.ai ("Service"), provided by Cloudgeni AS (Org. number 934642791, Norway) ("Cloudgeni," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms") and confirm that you have read our Privacy Policy. If you use the Service for an organization, you accept these Terms on its behalf. If you disagree with any part of these terms, you may not access the Service.
2. Description of Service
Opengeni provides a hosted platform for AI agents that offers:
- Agents that carry out tasks for you, alone or on a schedule
- Cloud sandboxes where agents run commands and work with files and code
- Integrations with services you connect, such as GitHub, Slack, Google, and Microsoft, and optionally your own computer as a Connected Machine
- Organizations and workspaces for working with your team
- A choice of AI models, paid with Opengeni credits, a free model, or your own ChatGPT or SuperGrok subscription
The Opengeni software is open source under the Apache License 2.0. That license governs the software, including when you run it yourself. These Terms govern only the hosted Service we operate.
3. User Accounts and Responsibilities
3.1 Account Registration
You must provide accurate, complete, and up-to-date information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for activity under your account. Organization owners and administrators control their organization's members, workspaces, and connected services.
3.2 Acceptable Use
You agree, for yourself and the agents you direct, to:
- Use the Service only for lawful purposes and in accordance with these Terms
- Not attempt to hack the Service or access other customers' data
- Not interfere with or disrupt the Service or servers
- Not use the Service for spam, malware, attacks on systems you are not authorized to test, cryptocurrency mining, or as general-purpose hosting or proxies
- Not get around usage limits, credit checks, or approvals, or create multiple accounts to get extra free usage or credits
- Follow the terms of the AI model providers and services you use through the Service
- Comply with all applicable laws and regulations
3.3 User Age and Capacity
By using this Service, you represent that you are at least 18 years old and legally capable of entering binding contracts. We reserve the right to terminate accounts for users who do not meet these conditions.
4. AI and Automated Services
Our AI agents act on your instructions with the access you give them. They can run commands, change files and repositories, open pull requests, and post messages or send email in services you connect. While we strive for accuracy:
- AI output can be wrong or incomplete and is not professional advice
- You are responsible for the actions agents take for you, so review their work and use approvals and permissions for actions that matter
- Sandboxes are temporary, and we may stop, reset, or delete them. Do not keep the only copy of important work in a sandbox
- If you connect your own computer, agents run commands on it with the permissions of the account that runs the Opengeni agent, and you are responsible for that computer
- Available models and integrations may change over time, affecting results
5. Data and Privacy
5.1 Your Data
You retain ownership of your content, including prompts, files, data from services you connect, and the output agents produce for you. By using our Service, you grant us permission to host, process, and transmit this content only as needed to provide the Service, including sending it to the AI model providers and services you choose. We do not train AI models on your content. See our Privacy Policy, including how the free model's provider logs and may train on prompts.
5.2 Data Security
We protect your data with encryption in transit and at rest, extra encryption for access tokens and secrets, and isolated sandboxes. However, no system is 100% secure.
5.3 Third-Party Services
When you connect a service or your own model subscription, you authorize us to use it on your behalf within the permissions you grant, and that provider's terms apply to it. We do not control third-party services and are not responsible for them.
6. Credits and Payment
6.1 Credits
Paid models and features use prepaid Opengeni credits in USD, bought through Stripe in amounts from USD 5 to USD 10,000. Model usage is charged at the provider's model cost plus 5%, as explained on our pricing page, and the price of each model is shown in the app. Applicable taxes are calculated at checkout, and you receive an invoice. Credits do not expire and have no cash value. A running task may take your balance below zero, and your next purchase first covers that amount. We do not charge your card automatically.
6.2 Free Usage
New users who verify their email and set up their own first organization receive a one-time USD 10 in trial credits, with no card required. The free model has a daily usage limit set by its provider. We may change, limit, pause, or end free offers at any time.
6.3 Your Own Subscriptions
If you connect a ChatGPT (Codex) or SuperGrok subscription, you pay OpenAI or xAI directly, and we do not charge credits for that usage. You are responsible for following that provider's terms, including any limits on sharing your subscription.
6.4 Refunds
If you are a consumer in the EEA, you can withdraw from a credit purchase within 14 days by emailing support@opengeni.ai. We refund the purchase, minus the value of credits you have already used, within 14 days. Otherwise, purchased credits are not refunded, except as required by law or at our sole discretion. If a payment is refunded, we deduct the matching credits. If a payment is disputed, we hold the matching credits until the dispute is resolved.
7. Intellectual Property
The Opengeni source code is licensed under the Apache License 2.0, and AI models belong to their providers. Apart from that, the Service, our names, logos, and websites are owned by Cloudgeni and protected by intellectual property laws. These Terms give you no rights in our trademarks.
8. Service Availability and Support
The Service is in active development. We strive to keep it available but cannot guarantee uninterrupted service, and we do not offer an uptime commitment. Features may change. Scheduled maintenance will be communicated in advance when possible. Keep your own copies of anything important. For support, contact us at support@opengeni.ai.
9. Limitation of Liability
The Service is provided "as is" and "as available", without warranties of any kind. To the maximum extent permitted by law, Cloudgeni shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, even if advised of the possibility of such damages.
Nothing in these Terms limits our liability for intent or gross negligence, for personal injury, or any other liability that cannot be limited by law, or affects your mandatory rights as a consumer, including your right to a Service that conforms to the contract.
10. Indemnification
If you use the Service for business purposes, you agree to indemnify and hold Cloudgeni harmless from any claims, damages, or expenses arising from your use of the Service, the actions of agents you direct, violation of these Terms, or infringement of any third-party rights, to the extent permitted by law.
11. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. If we close your account or the Service for any other reason, we will give you at least 30 days' notice where possible and refund your unused purchased credits. You may stop using the Service at any time. To close your account and have your data deleted, email support@opengeni.ai. If you close your account, unused purchased credits are not refunded, except as described in section 6.4 or required by law.
12. Changes to Terms
We may change these Terms. We will tell you about significant changes by email or in the Service at least 30 days before they take effect, unless a change is required by law. If you do not agree, you can close your account before the change takes effect, and we will refund your unused purchased credits. If you keep using the Service after that, you accept the new Terms.
13. Governing Law
These Terms are governed by and construed according to the laws of Norway. Any disputes arising from or related to these Terms shall first be attempted to resolve amicably. If resolution is not achieved within 30 days, disputes will be subject to the exclusive jurisdiction of the courts in Oslo, Norway. If you are a consumer, you keep the protection of the mandatory laws of the country where you live, you may bring proceedings in the courts where you live, and we can bring proceedings against you only there. Consumers in Norway can also contact Forbrukerrådet for help with a complaint.
14. Severability
If any provision of these Terms is found invalid or unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right is not a waiver of that right.
